Only legal entities and individuals that meet the following criteria are permitted to use our Website: (a) you must be able to form legally binding contracts under applicable law; (b) you must be registered as a user and use your log-in information to access the Website (you MUST not access the site using the log-in information of any other user). (c) We use the EU VAT registrar as a means of verifying a company's validity before allowing it to register. We also have a manual verification process to ensure users are fully and legally registered on the platform.

In addition, individuals desiring to use our Website and/or any Service we provide must be at least 18 years old.

This User Agreement applies to all users of our Website. As a result, this User Agreement applies to parts sellers when they access or use the Website. The terms of this User Agreement are in addition to (but do not amend or modify) the relationship between Buyers and parts sellers regarding the display of their inventory on our sites as set forth in such separate contracts. If you are a parts seller that wants to display your inventory on our site, please upload your auto part inventory and register as a user to find potential new customers and/or business partners across the EU.

This Site grants access to car part buyers, resellers, recyclers and other similar companies/businesses within the auto industry.

When an agreement is reached, we don't request any more payments. Since users must get in touch with one another directly using the contact details provided on our platform and their profile, all transactions between the buyer and Seller are between them. We operate a subscription service and only charge users based on the subscription fee and type they have selected. We bill subscribers on a monthly basis.

Company may upgrade and downgrade between subscriptions. When upgrading, your new plan will begin immediately, and you will be charged for any days left on your current subscription period. We do not offer refunds when you cancel or downgrade your subscription.

We have different types of users (admins and regular users). Please note that only Admins can create and add new users within the company account. Any action under your company account shall be the sole responsibility of your Company.

The billing will be done by a third-party, and all valid payment methods are accepted.

Our Website acts as a platform for parts sellers to display their inventory and for buyers, appraisers, and/or auditors to locate parts, order parts from parts sellers, and/or contact sellers in order to purchase parts. We are not a party to the actual transaction between buyers and sellers. As a result, WE HAVE NO CONTROL OVER THE QUALITY, SAFETY OR LEGALITY OF THE ITEMS ADVERTISED, THE TRUTH OR ACCURACY OF THE LISTINGS, THE ABILITY OF SELLERS TO SELL ITEMS, OR THE ABILITY OF BUYERS TO BUY ITEMS. YOU AGREE THAT ALL PURCHASE AGREEMENTS AND/OR ESTIMATES ARE DIRECTLY BETWEEN YOU AND THE SELLER OF THE PARTS. WE MAKE NO WARRANTY, AND HAVE NO LIABILITY WHATSOEVER, WITH RESPECT TO THOSE AGREEMENTS. We cannot guarantee that a buyer or seller will complete a transaction. You should look to the seller for any refunds, credits or adjustments to a transaction. WE ASSUME NO RESPONSIBILITY AND OFFER NO WARRANTY WHATSOEVER, REGARDING

ANY INFORMATION PROVIDED BY PARTS SELLERS (INCLUDING, WITHOUT LIMITATION, PART DESCRIPTIONS, PART PRICES, CONDITION OF PARTS (INCLUDING DESCRIPTIONS OF PART DAMAGE), PART IMAGES, PART AVAILABILITY, PART INTERCHANGEABILITY, WARRANTY INFORMATION, RETURN POLICIES, DELIVERY AREAS, DELIVERY TIMES, SELLER CERTIFICATIONS, INDICATIONS OF WHETHER PARTS MEET CRITERIA DESIGNATED BY USERS, ETC.), OR
6. ANY INFORMATION THAT YOU GIVE TO ANY BUYER OR PARTS SELLER (INCLUDING, WITHOUT LIMITATION, CREDIT CARD INFORMATION OR ANY OTHER PERSONAL OR CONFIDENTIAL INFORMATION).

Should you suspect or confirm that a user is fraudulently providing services through this website, please report this to us by sending an email to info@circularparts.com or call us on +45 9740 5000. We aim to investigate such reported account or user and make a decision as we see fit based on our investigation. We are not obligated to inform you of the outcome of such investigation.

The information that you receive on our Website in response to a parts search (including, without limitation, part descriptions, part types, part prices, part price types, condition of parts (including descriptions of part damage), part images, part availability, warranty information, return policies, delivery areas, delivery times, seller certifications, etc.) is information that we have received from parts sellers. While we try our best effort to review users of the website, we cannot guarantee the accuracy of the information provided by any user on this website. As set forth in Section 4 above, we assume no responsibility, and offer no warranty whatsoever, regarding any such information. We implore buyers to use common sense and practice safe purchasing when using our Website.

The use of our website and/or services results in the collection of certain data and information (referred to as "Collected Data"), including, but not limited to, data or information regarding the connections between vehicle identification numbers and the parts found in those vehicles. You hereby agree that such information will be accurate upon uploading on the website. Also, by uploading this information, you agree that it is public information and can be accessed by any and all users of the website. The information can be used for whatever purpose by other users of the website.

We hold the right to decide not to do business with anyone for any reason (or for no reason whatsoever). THE LIMITATION DESCRIBED ABOVE IS CUMULATIVE, WITH ALL PAYMENTS WITH RESPECT TO THIS AGREEMENT FOR CLAIMS OR DAMAGES BEING AGGREGATED TO DETERMINE SATISFACTION OF THE LIMIT, AND THE EXISTENCE OF ONE OR MORE CLAIMS WILL NOT ENLARGE THIS LIMITATION ON AMOUNT. FURTHERMORE, CIRCULAR PARTS APS SHALL NOT BE RESPONSIBLE FOR ANY PROBLEMS BEYOND ITS CONTROL, INCLUDING, WITHOUT LIMITATION, ANY PROBLEMS WITH ITS INTERNET CONNECTION OR INTERNET SERVICE PROVIDER. IN ADDITION, UNDER NO CIRCUMSTANCES SHALL ANY PARTY (INCLUDING, WITHOUT LIMITATION, SHOP MANAGEMENT SYSTEM PROVIDERS, ESTIMATING SYSTEM PROVIDERS, WORKFLOW SYSTEM PROVIDERS, INSURANCE COMPANIES, AND COLLISION REPAIR FACILITIES) WHICH INTEGRATES WITH ANY PART OF OUR WEBSITE OR SERVICES BE LIABLE IN ANY RESPECT FOR ANY DAMAGES WHICH YOU MAY INCUR OR EXPERIENCE ON ACCOUNT OF USING OUR WEBSITE OR SERVICES; ANY AND ALL POTENTIAL LIABILITY OF ANY AND ALL SUCH PARTIES BEING HEREBY FULLY DISCLAIMED AND WAIVED.

When using the website and our service, users agree to act in accordance with the following rules:

2. The means by which you identify yourself must not violate these Terms and Conditions or any applicable laws;
3. You must be polite to other users and not use any swear words or make any racist, sexist, or threatening words towards them;
4. You must not display, publish, copy, print, post, modify or otherwise use the Site and the information contained therein for the benefit of any third party or website without our prior written consent;

Any dispute arising from this Agreement between Users and Circular Parts ApS shall be resolved through mediation. If the dispute cannot be resolved through mediation, then the dispute will be resolved through binding arbitration conducted by an expert arbitrator in Denmark or as agreed upon by the parties.

We encourage buyers and Sellers to try and settle conflicts amongst themselves. If for any reason this fails, please feel free to contact us at the contact details provided on our website. We would try and resolve the issue and make a decision. If you are unsatisfied with our decision, then the dispute will be resolved through binding arbitration conducted by an expert arbitrator in Denmark or as agreed upon by the parties. Any arbitration fees shall be borne by the Seller and the buyer.

These Terms and Conditions and the relationship between you and Circular Parts ApS shall be governed by and construed in accordance with the laws of Denmark and you agree to submit to the courts in Denmark.
